1. Introduction

This Vendor / Seller Agreement (“Agreement”) sets forth the terms and conditions under which third-party vendors (“Vendor” or “Seller”) may sell products through Hind Store (hindstore.in).
By registering as a Vendor, you agree to comply with all terms herein. Failure to comply may result in suspension or termination of your account.

2. Vendor Eligibility

  • Vendor must be a legally registered business in India.
  • Vendor must have valid GST, PAN, or applicable tax registration.
  • Vendors selling age-restricted products must comply with all local laws and regulations.
  • Vendors must be at least 18 years old to register.

3. Product Listing & Accuracy

  • Vendors must provide accurate descriptions, images, specifications, and pricing for all products.
  • False, misleading, or infringing content is strictly prohibited.
  • Hind Store reserves the right to approve, edit, or reject listings at its sole discretion.
  • Vendors must comply with intellectual property laws; unauthorized use of third-party content is prohibited.

4. Pricing & Payment

  • Vendors set their own product prices, subject to Hind Store approval.
  • Payments will be processed according to agreed settlement terms.
  • Hind Store may deduct commissions, fees, or applicable taxes before payment.
  • Any changes in pricing must be updated on the platform immediately.

5. Order Fulfillment & Shipping

  • Vendors are responsible for timely shipping of products to customers.
  • Average fulfillment times:
    • Local: 3–4 business days
    • All India: 4–6 business days
  • Hind Store provides logistics support via partners like Shiprocket.
  • Vendors must notify Hind Store promptly of any delays, stock issues, or shipping problems.

6. Returns, Refunds & Replacements

  • Vendors must accept returns only for manufacturer defects, as per Hind Store’s Return & Refund Policy.
  • Refunds or replacements for defective products are the vendor’s responsibility.
  • Vendors must process returns promptly and not attempt to delay or avoid them.
  • Vendors must comply with customer service and quality standards set by Hind Store.

7. Data Privacy & GDPR Compliance

  • Vendors must comply with Indian IT Act, GDPR, and other applicable privacy laws.
  • Customer data obtained through Hind Store may only be used for order fulfillment or marketing with explicit consent.
  • Unauthorized use, sharing, or selling of customer data is strictly prohibited and may result in termination and legal action.

8. Vendor Conduct

  • Vendors must not engage in fraud, misrepresentation, manipulation of reviews, or unfair business practices.
  • Sharing account credentials or bypassing Hind Store systems is strictly prohibited.
  • Vendors must maintain professional communication with customers and Hind Store.

9. Intellectual Property

  • Vendors must ensure they own or have licenses for all product images, logos, and descriptions.
  • Hind Store may remove infringing content without prior notice.
  • Vendors cannot use Hind Store’s logo or brand in marketing without written permission.

10. Compliance & Legal Obligations

  • Vendors must comply with all applicable laws, including:
    • Consumer protection laws
    • E-commerce regulations
    • Taxation and accounting requirements
  • Vendors are responsible for any legal claims arising from their products.
  • Hind Store may suspend or terminate accounts for non-compliance.

11. Termination

  • Hind Store may terminate this Agreement immediately for:
    • Breach of terms
    • Fraud or illegal activity
    • Repeated complaints or non-performance
  • Vendors may terminate this Agreement by providing written notice to Hind Store.

12. Limitation of Liability

  • Hind Store is not liable for damages arising from vendor products or customer disputes.
  • Vendors agree to indemnify and hold Hind Store harmless against claims, losses, or legal expenses related to their products.

13. Amendments & Updates

  • Hind Store may update this Agreement periodically.
  • Vendors will be notified via email or website.
  • Continued use of the platform constitutes acceptance of the revised terms.

14. Governing Law & Jurisdiction

  • This Agreement is governed by the laws of India.
  • All disputes will be subject to the courts in Udaipur, Rajasthan.
